FYI and FWIW:
I was trying to upgrade SABnzbd on a Windows 7 system. I stopped SABnzbd via SAB's GUI (Options -> Shutdown) and started the setup procedure. The install procedure failed and said I had to run with admin rights ... with I was already doing.
I then discovered the solution / workaround: SABnzbd was running as a Windows service. I stopped both services, after which I was able to run the setup.
